Terms of Service

Welcome to KnoxCalls Night Watch. These Terms of Service ("Terms") impose legal obligations on you and KNOXCALLS, LLC regarding your use of our AI-powered answering and dispatch services.

1. Services Provided

KnoxCalls Night Watch ("Night Watch") acts as an AI agent for your business. We provide:

• AI Call Answering: Automated reception using natural language processing.
• Emergency Triage: Filtering calls based on your defined criteria.
• Dispatch Notification: Alerting your on-call staff via SMS/Phone.
• Data Logging: Recording and transcribing calls for your records.

1.1 Fair Use & Call Volume

Night Watch flat-rate plans are intended for use consistent with the normal after-hours call volume of a single-location trade services business. "Unlimited" call handling refers to the absence of per-minute or per-call fees under ordinary operating conditions — it does not constitute a commitment to absorb disproportionate or atypical call volumes without limitation.

KnoxCalls reserves the right to review accounts whose call volume materially exceeds what is reasonably expected for a business of the subscriber's type and size. In such cases, KnoxCalls may, at its discretion, contact the subscriber to discuss a volume-appropriate plan. Businesses with high call volumes are encouraged to contact us prior to enrollment for a custom quote.

1.2 Not a 911 Service

KnoxCalls reserves the right, in its sole and absolute discretion, to refuse service, deny enrollment, or terminate access to the Service for any business or individual for any reason or no reason at all. Filling out an inquiry or enrollment form does not constitute a guarantee of service.

1.4 Pricing Changes

We reserve the right to change our pricing, including subscription fees and add-on costs, at any time. For existing active subscribers, price changes will take effect after providing a minimum of thirty (30) days' notice via the email address associated with your account.

2. Acceptable Use Policy

You agree to use the Service only for lawful business purposes. The following use cases are STRICTLY PROHIBITED:

Violation of this policy will result in immediate termination of service and reporting to relevant authorities.

3. SMS/Messaging Terms

By subscribing to Night Watch, you opt-in to receive administrative SMS alerts (e.g., "Technician Dispatched"). Technicians added to your dispatch roster will receive an opt-in confirmation SMS and must reply START to activate emergency dispatch alerts on their number.

• Campaigns: We only send messages related to your account security, billing, and active call dispatches.
• Technician Consent: Business owners adding technicians to their dispatch roster represent that the technician has been informed they will receive an opt-in confirmation SMS. Technicians must independently confirm by replying START before any dispatch alerts are sent to their number.
• Opt-Out: Reply STOP at any time. Note that opting out of dispatch alerts may prevent you from receiving emergency notifications.
• Privacy: Your mobile number will never be shared with third parties for marketing purposes. See our SMS Compliance & Consent page for full details.

4. User Responsibilities

• Account Security: You are responsible for all activity under your account.
• Emergency Contacts: You must keep your on-call personnel's contact info up to date.
• Consent: You represent that you have the legal right to record calls on your business lines.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KNOXCALLS, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO:

• LOSS OF PROFITS OR REVENUE.
• FAILURE OF THE AI TO CORRECTLY CLASSIFY A CALL.
• TELECOM CARRIER OUTAGES OR DELIVERY FAILURES.

OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE LAST 12 MONTHS.

6. Termination

We reserve the right to terminate service immediately if you violate these Terms, particularly the Acceptable Use Policy. You may cancel at any time via email to info@knoxcalls.com.

7. Referral Program

KnoxCalls Night Watch offers a referral reward program ("Referral Program") that allows eligible individuals to earn a one-time cash reward by referring new businesses to the Night Watch pilot program. Participation in the Referral Program is subject to the following terms and conditions.

7.1 Eligibility & Reward

A referral reward in an amount determined by KnoxCalls at the time of the referral will be issued to the referring individual upon satisfaction of all qualifying conditions set forth in Section 7.2. The applicable reward amount will be communicated through official KnoxCalls promotional materials. Rewards are issued per referred business, not per individual contact, and are non-transferable.

7.2 Qualifying Conditions

To qualify for a referral reward, all of the following conditions must be met:

• The referred business must enroll in the Night Watch pilot program using a valid referral code attributed to the referring individual.
• The referred business must remain continuously enrolled in an active, paid pilot subscription for a minimum of thirty (30) consecutive calendar days from the date of enrollment.
• During that thirty-day period, the referred business must have actively activated Night Watch service on a minimum of ten (10) distinct nights.
• The referred business's account must be in good standing, with no outstanding balance or policy violations, at the time the reward is processed.

7.3 Reward Issuance

Rewards are processed within fourteen (14) business days following confirmation that all qualifying conditions have been met. KnoxCalls will contact the referring individual using the contact information provided at the time the referral code was issued. KnoxCalls reserves the right to request identity verification prior to disbursement.

7.4 Disqualification

KnoxCalls reserves the right to disqualify a referral and withhold any associated reward if, in its sole determination:

• The referral was self-generated or submitted by the referred business's own personnel without an arm's-length referral relationship.
• Any information provided in connection with the referral is found to be fraudulent, inaccurate, or misleading.
• The referred business cancels, pauses, or otherwise fails to maintain continuous enrollment before the thirty-day qualifying period is complete.
• The referred business does not meet the minimum ten (10) active-night threshold within the qualifying period.

7.5 Program Modifications

KnoxCalls reserves the right to modify, suspend, or discontinue the Referral Program at any time, with or without notice. Changes will not affect rewards for referrals that have already satisfied all qualifying conditions at the time of modification.

7.6 Tax Responsibility

Referral rewards may constitute taxable income under applicable federal, state, and local tax laws. Recipients are solely responsible for reporting and remitting any taxes owed in connection with rewards received through the Referral Program. KnoxCalls will issue applicable tax documentation as required by law.
